Software License Agreement

End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and Zenboard for the Zenboard software application ("Software").

1. Grant of License

Subject to the terms and conditions of this Agreement, Zenboard grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download, install, and use the Software on macOS devices you own or control
• Use the Software for personal, educational, or commercial purposes
• Receive updates and improvements to the Software as made available

2. License Restrictions

You may not:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
• Modify, adapt, translate, or create derivative works based on the Software
• Remove, alter, or obscure any proprietary notices on the Software
• Rent, lease, lend, sell, redistribute, or sublicense the Software
• Use the Software for any illegal or unauthorized purpose
• Transfer your rights under this license to another party

3. Ownership and Intellectual Property

The Software is licensed, not sold. Zenboard retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to trademarks, service marks, or trade names of Zenboard.

4. Free License

Zenboard is provided to you free of charge. You are not required to pay any license fee or subscription cost to use the Software. However, Zenboard reserves the right to introduce paid features or versions in the future.

5. Updates and Support

Zenboard may provide updates, upgrades, bug fixes, or modifications to the Software at its sole discretion. Such updates may be automatically downloaded and installed. Zenboard is under no obligation to provide technical support, maintenance, or updates.

6. Privacy and Data

Your use of the Software is also governed by our Privacy Policy. The Software processes data locally on your device and does not transmit your personal files to our servers. Please review our Privacy Policy for more information.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ZENBOARD DOES NOT WARRANT THAT:

• The Software will meet your requirements
• The Software will be uninterrupted, timely, secure, or error-free
• Any errors in the Software will be corrected
• The Software will be compatible with your hardware or other software

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENBOARD BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ZENBOARD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Term and Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the Software and destroy all copies.

Zenboard may terminate this Agreement at any time for any reason by providing notice to you. Upon such termination, you must cease using the Software.

10. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You shall not export or re-export the Software in violation of any applicable laws or regulations.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Zenboard operates, without regard to its conflict of law provisions.

12. Entire Agreement

This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Zenboard regarding the Software and supersedes all prior agreements and understandings.
